Revised for an individual owner operating WashCore as a sole proprietorship. The operator is Dylan Ragsdale, an Illinois sole proprietor. App implementation details and final billing terms still require verification. This is not yet an effective policy or agreement.
1. Operator and agreement
WashCore is operated by Dylan Ragsdale, an individual sole proprietor doing business as WashCore in Illinois, United States. No LLC has been formed. A future LLC would be a change of operator requiring updated notices and agreements as applicable. “WashCore,” “we,” and “us” mean that individual operator. A business mailing address and any legally required additional contact details must be confirmed before publication. Contact: [email protected].
These revised Terms and End-User License Agreement are a review draft, not an effective agreement. Once finalized and presented for acceptance, they are intended to govern the website, app, and related services. A company representative must have authority to bind the business; workers need authorization. Legal capacity, age requirements, permitted markets, and the acceptance process require confirmation.
2. Company accounts and worker access
Provide accurate information and protect credentials. Company administrators are responsible for invitations, appropriate permissions, and removing access when a worker leaves or changes roles. Do not access another company’s records without permission or share credentials to avoid plan limits. Report suspected unauthorized access to support.
Businesses must lawfully collect and use worker and customer information, including required notices and permissions for photos, timekeeping, and location. Company records may be visible to authorized administrators. Verify actual account controls before adoption; this draft does not promise a particular permission model.
3. Limited license and ownership
The proposed license gives the subscribing business and authorized users a limited, nonexclusive, nontransferable right to install and use the app on compatible devices for authorized business purposes within the purchased plan and applicable store usage rules. The app is licensed, not sold. WashCore and its licensors retain their intellectual property rights.
Do not resell, sublicense, distribute unauthorized copies, remove proprietary notices, bypass security or access limits, or reverse engineer except as applicable law permits despite this restriction. Open-source components retain their applicable licenses. Platform-specific license provisions require review before distribution.
4. Your records and permissions
You retain rights you hold in submitted materials. The proposed service license permits WashCore and necessary providers to host, process, copy, and transmit them only as needed to provide, secure, and support the requested service and meet legal obligations, consistent with the finalized Privacy Policy and any data-processing agreement. It grants no general advertising or AI-training license. Verify provider practices before adoption.
Obtain permission for worker, customer, photo, receipt, and other third-party information. Avoid unlawful or unnecessary sensitive content. Keep independent copies of essential financial and employment records; a subscription does not replace legally required recordkeeping.
5. GPS, OCR, receipts, and payroll limitations
Use location features, if offered, only with proper authority and required notices or permissions. Customer and job locations are stored. Device GPS collection events, background behavior, visibility, accuracy, and retention are unverified; stored job addresses alone do not establish device tracking. These terms do not authorize covert monitoring. Device and network conditions can affect location accuracy.
Receipt images, OCR output, calculations, and imported or synced records can contain errors, omissions, or duplicates. Verify source documents, totals, hours, rates, taxes, and classifications before invoicing, paying workers, filing returns, or making decisions.
WashCore tracks employee hours and calculates estimated gross pay. It does not currently issue payroll payments or file payroll taxes. Estimated gross pay is not a net-pay calculation or a guarantee of lawful wages, deductions, overtime, or taxes. No withholding, employment-classification, or payroll-compliance service is promised. Businesses remain responsible for employment, payroll, accounting, and tax obligations. WashCore does not replace qualified professional advice.
6. Plans and subscriptions
The existing website advertises monthly plans at $29.99 for one owner plus 3 workers, $49.99 for one owner plus 7 workers, and $79.99 for one owner plus 15 workers, with each additional worker at $5 per month. It advertises all features and unlimited OCR across plans. Equipment, fleet, and photo allowances remain provisional. These are existing marketing statements requiring owner verification, not newly verified purchase terms.
Before purchase, clearly identify the seller, currency, taxes, billing provider, billing cycle, plan limits, additional-worker charges, renewal rules, and price-change terms. The accepted offer and final terms must agree. Do not add an undisclosed fair-use limit inconsistent with unlimited OCR advertising. Roadmap features do not promise delivery on a particular date.
7. Free trials, renewal, cancellation, and refunds
Monthly in-app subscriptions with a 30-day free trial and cancellation options are planned, but billing implementation is not finalized. Payment-method requirements, trial start, eligibility, automatic conversion, first charge date and amount, and reminders are unresolved. Disclose the actual rules before enrollment and obtain required consent. This draft alone does not authorize recurring charges.
The final terms and purchase screen must give actual cancellation steps and channel, any cutoff and time zone, when billing stops, whether access continues to a paid-through date, and treatment of add-ons, plan changes, refunds, and prorating. No no-refund rule, guaranteed refund, or unverified cancellation button is established here. Mandatory legal and applicable store rights remain available.
For billing or cancellation assistance, email [email protected]. Whether support can directly cancel depends on the verified billing arrangement. Deleting the app, removing a worker, disconnecting QuickBooks, or requesting deletion must not be assumed to cancel billing. Store-managed purchases need accurate platform instructions before release.
8. Providers and integrations
Hosting, Firebase, OCR, billing, app-store, and other providers may support enabled features. Verify their actual use and terms. Naming a provider establishes no integration, uptime commitment, or certification. See the Privacy Policy draft for unresolved data-practice details.
QuickBooks integration is in development. QuickBooks Online is intended to remain authoritative for accounting records; WashCore outputs and any future sync must be checked against it. No live sync, supported workflow, or production date is guaranteed. If offered, an authorized administrator must approve the connection and review permissions. Verify imports, duplicates, and accounting changes. Disconnection does not itself cancel billing or delete previously copied records. Third-party services can change or become unavailable and have their own terms. QuickBooks is an Intuit trademark; no affiliation or endorsement is implied.
The existing site says app-store downloads are coming soon. Confirm distribution channels and add any required store-specific support, warranty, license, and third-party-beneficiary terms before release.
9. Acceptable use
Do not use WashCore for unlawful activity, fraud, harassment, infringement, unauthorized surveillance, malware, unauthorized access, or interference with service operation. Do not defeat safeguards or misuse credentials. Enforcement must follow applicable law and finalized account procedures.
10. Availability, suspension, and termination
No uptime guarantee is offered in this draft. Finalize maintenance, updates, supported versions, and notice of material feature reductions. Subscription changes must honor accepted purchase terms and mandatory law.
Proposed suspension grounds include material breach, unlawful use, nonpayment, or urgent security threats. Before adoption, establish reasonable notice and cure procedures where practicable, urgent exceptions, and a route to resolve errors. Termination terms must address unused prepaid fees and record access as contract and law require.
Post-cancellation access, export, and deletion timing are unverified. Ask about available copies before closing a company account. The final agreement must describe the implemented access window and deletion workflow without promising nonexistent features. Retention exceptions must align with the final Privacy Policy.
11. Warranties and liability
The proposed service is provided “as is” and “as available” to the extent permitted by applicable law, without promises of uninterrupted or error-free operation or fitness for every business requirement. Counsel must review any implied-warranty exclusions for the markets served. Mandatory warranties and non-excludable rights remain available.
This draft establishes no monetary liability cap, blanket damages exclusion, indemnity obligation, or security-incident waiver. Counsel must assess suitable limits and exceptions, including fraud, intentional misconduct, non-excludable negligence, privacy obligations, and other mandatory rights. This review draft does not itself limit the individual owner’s legal liability.
12. Law, disputes, changes, and contact
The operator is located in Illinois, United States; markets served still require confirmation. Location alone does not select governing law. No governing state law, exclusive venue, arbitration clause, or class-action waiver is selected. Counsel must finalize dispute provisions and preserve mandatory protections.
Before adoption, define delivery, affirmative acceptance, and notice of material changes. Add an effective date and retain prior versions and acceptance records. Material changes need legally required notice and renewed acceptance. Questions and proposed informal dispute discussions: [email protected].
